Affiliate Program Terms

These Affiliate Program Terms (“Affiliate Terms”) govern your participation in the OmniFire Affiliate Program (“Program”) operated by NiceMatrix Technologies Inc. (“Company”, “we”, “us”). They are in addition to, and do not replace, our Terms of Service and Privacy Policy. By submitting an affiliate application or by promoting OmniFire under a referral code we have issued to you, you confirm that you have read, understood, and agree to be bound by these Affiliate Terms. If you do not agree, do not apply and do not promote OmniFire.

1. Eligibility and Application

To apply you must hold an active OmniFire account in good standing, be at least 18 years of age or the age of majority in your jurisdiction, have the legal capacity to enter into a binding contract, and not be located in or a national of a jurisdiction subject to comprehensive trade sanctions administered by the United States, the European Union, the United Kingdom, or Canada. We may approve or reject any application at our sole discretion. Approval is per natural or legal person; you may not hold multiple Affiliate accounts.

2. Promotion Conduct

You agree to promote OmniFire honestly and lawfully and to clearly disclose your affiliate relationship in every channel where you promote OmniFire, in accordance with applicable advertising and consumer-protection laws. The following methods are strictly prohibited: unsolicited bulk email, SMS, or messaging (spam); bidding on “OmniFire”, “omnifire.app”, or confusingly similar terms in paid search; cookie stuffing, forced clicks, pop-unders, hidden iframes, click-bots, or any technique that records a click without genuine user intent; impersonating OmniFire or implying an official partnership beyond what these Terms grant; promoting OmniFire through content that is illegal, defamatory, infringing, sexually explicit, hateful, harassing, or violent; self-referral (buying OmniFire through your own link or paying others to do so), coupon abuse, unauthorised cash-back stacking, or any other attempt to manipulate attribution; or any practice that violates the terms of service of a third-party platform you promote on.

3. Commission Structure

Subject to these Terms, we will credit you a commission on Qualifying Payments made by users you successfully refer to OmniFire. A Qualifying Payment is a non-refunded, non-disputed payment made by a referred user on their first paid subscription invoice (First-Month Commission) and, where the Program is configured to do so, on monthly renewal invoices for that subscription up to a maximum of eleven additional months (Recurring Commission). Commission rates and any per-affiliate overrides are recorded on your affiliate record at the time of accrual and are visible in your dashboard. Commissions accrue in U.S. dollars and move through three states: pending (in cooling), confirmed (cleared cooling and available for payout), and paid. Commissions move from pending to confirmed automatically after a cooling period of fourteen days, provided the underlying payment has not been refunded, disputed, charged back, or otherwise reversed and the referred user’s account has not been terminated for fraud or abuse. Refunds and disputes will reduce or reverse the associated commission proportionally even after confirmation. Rate changes apply prospectively only. Attribution is first-touch with a 30-day cookie window: a visitor who first reaches OmniFire through your referral link remains attributed to you for thirty days, even if they later click another affiliate's link, and only payments from that attributed user generate commission for you.

4. Payouts and Invoicing

Confirmed commissions are paid out on a monthly cycle, subject to a minimum payout threshold of one hundred U.S. dollars (USD 100). Balances below the threshold roll over to the next cycle. We will generate a payout statement for each cycle in which you cross the threshold and you must submit a corresponding invoice through the affiliate portal within thirty days. We may withhold or delay any payout while we investigate suspected fraud, refund risk, sanctions screening, or any breach of these Terms. Payouts are made in USD by the payment method you configure in the affiliate portal; you are responsible for any bank, intermediary, processor, or currency-conversion fees, and we are not liable for payouts misdirected as a result of incorrect or out-of-date account information you provide.

5. Taxes and Independent Status

You are an independent contractor with respect to the Program. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and the Company. You are solely responsible for determining, collecting, reporting, and remitting all taxes, duties, and similar charges imposed by any authority on your commissions, including income tax, value-added tax, goods-and-services tax, withholding tax, and self-employment or social-security contributions. Where required by applicable law you will provide a completed IRS Form W-9 or W-8 series, or equivalent tax documentation, before we issue payouts; we may withhold payouts and amounts as required by law in the absence of valid documentation.

6. Trademarks and Marketing Materials

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the OmniFire name, logo, and marketing assets made available through the affiliate portal solely for the purpose of promoting OmniFire under these Terms. You will use the marks only in the form supplied, will not modify them, and will not register or attempt to register any confusingly similar name, logo, domain, social handle, or trademark. All goodwill arising from your use of the marks inures to the Company. This licence terminates automatically when your participation in the Program ends.

7. Suspension and Termination

Either party may terminate your participation in the Program at any time, with or without cause, by notice through the affiliate portal or by email to the address on file. We may immediately suspend your account, withhold commissions, and reverse confirmed but unpaid commissions if we determine, in our reasonable judgement, that you have breached these Terms, the Terms of Service, or applicable law, or that fraud, abuse, or self-dealing has occurred. Upon termination you will immediately stop using the OmniFire marks and remove all referral links; you remain entitled to commissions confirmed and not affected by a clawback event prior to termination; and commissions that are still in pending status, or that arise from activity after termination, are forfeited. The provisions of Sections 5, 6, 8, 9, 10, 11, and 12 survive termination.

8. Confidentiality

In the course of the Program you may receive information that is not publicly available, including per-affiliate commission rates, internal performance dashboards, beta features, unannounced products, pricing roadmaps, fraud-prevention rules, and aggregate or individual referral statistics about other users (collectively, “Confidential Information”). You agree to use Confidential Information solely to participate in the Program, to protect it with at least the same degree of care you use for your own confidential information (and in no event less than reasonable care), and not to disclose it to any third party except to your professional advisers under equivalent obligations of confidence or where disclosure is required by law (in which case you will, where lawful, notify us in advance so we may seek a protective order). Confidential Information does not include information that is or becomes publicly known through no fault of yours, was rightfully known to you before disclosure, or is independently developed by you without use of Confidential Information. These obligations survive termination for a period of three years, except that obligations relating to trade secrets continue for as long as the information qualifies as a trade secret under applicable law.

9. Data Protection

If, in promoting OmniFire, you collect personal data from prospective customers (for example, email addresses for a newsletter, lead-capture forms, or webinar registrations), you act as an independent controller of that data and are solely responsible for complying with all applicable data-protection laws, including the EU and UK General Data Protection Regulation, the California Consumer Privacy Act, Canada’s Personal Information Protection and Electronic Documents Act, and any other regime that applies to you or your audience. You will provide a clear and lawful basis for processing, publish a privacy notice that accurately describes your practices, honour data-subject rights requests directed to you, implement appropriate technical and organisational security measures, and notify affected individuals and competent authorities of any personal-data breach within the timeframes required by law. You will not transfer to us any personal data that you are not lawfully permitted to share. Our handling of personal data that flows to OmniFire (including referral cookies and conversion events) is described in our Privacy Policy, which forms part of these Terms by reference. You will not represent or imply that the Company endorses your data-collection practices, and you will indemnify us for any third-party claim arising from your non-compliance with this section, subject to Section 10.

10. Indemnification and Limitation of Liability

You will defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any third-party claim, demand, action, proceeding, loss, liability, damage, fine, penalty, cost, or expense (including reasonable legal fees) arising out of or related to your participation in the Program, your breach of these Terms or of applicable law, your promotional content, your marketing channels, your use of personal data of referred users, or any misrepresentation you make about OmniFire. We will promptly notify you of any claim subject to this section, allow you to control the defence and settlement (provided any settlement that imposes obligations on us requires our prior written consent), and reasonably cooperate at your expense. To the maximum extent permitted by law, the Company’s aggregate liability to you arising out of or relating to the Program, whether in contract, tort (including negligence), strict liability, or otherwise, will not exceed the total commissions paid or payable to you under the Program during the twelve months immediately preceding the event giving rise to the claim; and in no event will the Company be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, or loss of data, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).

11. General Legal Provisions

Neither party will be liable for any failure or delay in performance (other than payment obligations) to the extent caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, labour disputes, epidemic, internet or utility outages, or third-party platform failures (a “Force Majeure Event”); the affected party will use reasonable efforts to resume performance promptly. You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent, and any prohibited assignment is void; we may freely assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets. These Terms, together with our Terms of Service and Privacy Policy and any commission schedule or addendum we provide to you in writing, constitute the entire agreement between you and the Company regarding the Program and supersede any prior or contemporaneous understandings on the same subject. No failure or delay by either party in exercising any right under these Terms operates as a waiver, and a waiver is effective only if in writing and signed by the waiving party. You represent and warrant that you will comply with all applicable anti-corruption, anti-bribery, anti-money-laundering, sanctions, and export-control laws (including the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act, and the Corruption of Foreign Public Officials Act of Canada), and that neither you nor any beneficial owner of your affiliate account is a sanctioned person or located in a sanctioned territory. All notices to you may be given through the affiliate portal or by email to the address on your account; notices to us must be sent by email to [email protected] and, for legal process, to NiceMatrix Technologies Inc. at the registered address published on our website. Before commencing any legal proceeding, you agree to send us a written notice of dispute and to negotiate in good faith for at least thirty days; this requirement does not apply to requests for injunctive or equitable relief or to claims that, by law, cannot be subject to such pre-suit requirements.

12. Changes, Governing Law, and Contact

We may modify these Affiliate Terms from time to time. The revised version takes effect when posted on this page; material changes will be notified through the affiliate portal or by email, and continued participation in the Program after the effective date constitutes acceptance of the revised Terms. These Terms are governed by the laws of the Province of Alberta, Canada, without regard to its conflict-of-laws rules; you and the Company submit to the exclusive jurisdiction of the courts located in Calgary, Alberta for any dispute arising under or relating to these Terms, except that we may seek injunctive relief in any court of competent jurisdiction.
